THE ROLE:
AMD and its customers are building the compute backbone of the AI era, and our Legal team sits at the center of that expansion. We are seeking a Senior Corporate Counsel to join AMD's in-house real estate legal team and lead the legal work behind our most complex data center, infrastructure, energy, and related financing transactions. In this high-impact role you will help AMD acquire, develop, lease, power, and finance the data center facilities that fuel our AI and high-performance computing roadmap, working shoulder to shoulder with our Corporate Strategy and Capital Markets teams as well as Real Estate and Facilities, Engineering, Finance, and Treasury Leaders. You will own sophisticated, time-sensitive deals end to end, from diligence site acquisition and power procurement through negotiating the project finance and structured transactions that fund them, shape the playbooks that scale our infrastructure program, and see your work translate directly into the capacity that powers next-generation computing. THE PERSON:
You are a pragmatic, business-minded lawyer who thrives on complex, high-stakes transactions and enjoys being the go-to advisor for a fast-moving infrastructure team. You bring hands-on experience with large data center and infrastructure deals and the energy arrangements that power them, and you are equally comfortable negotiating sophisticated legal terms, technical power and utility requirements, and the credit support and financing structures behind a deal. You are at home partnering with corporate strategy, corporate development, and capital markets colleagues, and you can translate complex financing and commercial considerations into clear, actionable legal advice. You balance legal risk with commercial priorities, communicate clearly to legal and non-legal stakeholders alike, and take ownership of ambiguous, first-of-their-kind challenges without waiting for direction. You are collaborative, direct, and humble, and you know how to move deals forward with urgency while protecting AMD's interests.
KEY RESPONSIBILITIES:
Provide legal support across the full lifecycle of AMD's data center transactions, including site selection, leasing, credit support transactions, and ongoing operations, and help manage landlord-tenant and facility operator relationships.
Support strategic partnerships and co-investment structures, including transactions with financing components and off-take arrangements, and negotiate third-party credit support such as guarantees and other risk-allocation mechanisms.
Support the capital markets and structured finance transactions that fund AMD's data center and infrastructure programs, including project finance, data center equipment financing, secured borrowing facilities, and securitization structures, partnering with Treasury and Capital Markets on credit support, transaction documentation, and negotiations with lenders, sponsors, investors, and rating agencies.
Review and negotiate electricity infrastructure and supply agreements, power purchase agreements (including for renewable and carbon-free electricity), interconnection agreements, and related utility arrangements to power new and expanding data center facilities.
Advise on energy regulatory matters and market-specific risks affecting data center power procurement and operations, partnering with Engineering and Facilities teams on power, cooling, and utility requirements.
Participate in AMD's strategic transactions pipeline, supporting rapid vetting, diligence, and execution across multiple active deals.
Serve as a key legal partner to AMD's Corporate Strategy team on capital allocation, strategic initiatives, and large-scale capital deployment opportunities, advising from evaluation and diligence through structuring and execution.
Partner with Real Estate and Facilities, Corporate Strategy, Engineering, Finance, Treasury, and IT teams to align transaction structures with AMD's technical, energy, and commercial needs.
Review and assess due diligence, including title, survey, environmental, and regulatory review, and advise business leaders on risks and mitigations.
Coordinate and manage outside counsel to control cost, timeline, and quality, and develop scalable templates and playbooks for recurring data center, infrastructure, and energy transactions.
PREFERRED EXPERIENCE:
Extensive legal experience with complex commercial real estate, data center, or digital infrastructure transactions, ideally including direct experience at or with data center providers, hyperscalers, colocation operators, or other large-scale infrastructure developers.
Experience supporting or advising on capital markets and structured finance transactions, such as project finance, data center equipment financing, securitization, secured lending, or investment-grade debt, ideally in connection with data center, technology infrastructure, or power generation assets.
Energy and infrastructure experience, including electricity transactions, power purchase agreements, interconnection and utility arrangements, and familiarity with the power and cooling requirements of data center operations.
Practical understanding of commercial real estate concepts, including leasing, development, construction, lending, title, zoning, and land use.
Fluency negotiating technical terms related to data center operations, power, and utilities, and the ability to advise on regulatory matters affecting data center infrastructure and energy.
Experience advising developers, operators, investors, and sophisticated enterprise tenants, and structuring or negotiating guarantees and other credit support mechanisms.
Demonstrated ability to partner with corporate strategy, and treasury or capital markets teams on capital allocation, capital deployment, and strategic initiatives.
A pragmatic approach to balancing legal risk with business priorities, paired with clear, concise communication for legal and non-legal stakeholders.
Proven ability to independently manage complex, high-value, multiparty transactions in a fast-paced, in-house environment.
A mix of leading law firm and in-house experience.
ACADEMIC CREDENTIALS:
Juris Doctor (JD) from an accredited law school preferred.
Active membership in good standing in at least one U.S. state bar desired.
