POSITION SUMMARY:

The Associate General Counsel will play a critical role in supporting Transwestern's transformation and growth initiatives. Reporting directly to the General Counsel, this position will provide legal counsel and services to all levels of management and employees across Transwestern's offices nationwide. The ideal candidate will be a proactive, business-minded attorney with a strong foundation in corporate, real estate, and commercial law.

POSITION ESSENTIAL FUNCTIONS

Provide legal services and support to business units by reviewing and negotiating a wide range of agreements between Transwestern and third parties, including but not limited to:

  • Commercial contracts

  • Property management agreements

  • Listing and commission agreements (sales and leasing)

  • Leases

  • Purchase and sale agreements

  • Construction contracts

  • Project management agreements

  • Employment agreements

  • Independent contractor agreements

  • Termination and severance agreements

  • Manage correspondence and other communication with outside parties, including, but not limited to matters related to disputes and collections.

  • Direct and coordinate outside legal counsel as necessary, including overseeing outside legal cost management.

  • Provide support to Transwestern attorneys in litigation matters and manage outside litigation counsel, including:

  • Assisting with subpoena responses and discovery requests

  • Drafting and reviewing settlement agreements

  • Participating in depositions, court hearings, and mediations as required

  • Interact with Transwestern's risk management group as needed.

  • Handle brokerage licensing issues including researching applicable laws and rules pertaining to licensing requirements in states where Transwestern is licensed and may become licensed as a real estate broker.

  • Take a leading legal role in providing advice and counsel to internal clients relating to risk management, compliance, company policies and procedures, corporate governance, and operational issues.

POSITION REQUIREMENTS

  • Commendable academic record from accredited undergraduate institutions and law schools.

  • Must be a member in good standing of the State Bar of Texas or another U.S. state bar.

  • Minimum of 3 years of general corporate legal practice, either within a law firm or in an in-house legal department with a comparable scope of work.

  • Background in real estate, risk management or labor and employment law considered a strong plus.

  • Demonstrate excellent technical advocacy, writing, and interpersonal skills.

  • Advanced proficiency with Microsoft Word, Excel, Outlook, and Workshare.

  • Strong Work Ethic and Independence

  • Demonstrates a high level of personal accountability, with well-developed organizational skills and the ability to perform effectively with minimal supervision.

  • Effective Communication and Credibility

  • Exhibits an open, participative communication style and the ability to build trust and credibility across all levels of Transwestern management.

  • Sound Judgement and Problem Solving

  • Apply strong business judgment and creative problem-solving skills in a collaborative, fast-paced, and time-sensitive environment.

  • Project Management Excellence

  • Capable of managing multiple complex projects simultaneously while maintaining high standards of quality and timeliness.

  • Confidentiality and Discretion

  • Maintains strict confidentiality and exercise discretion in handling sensitive information and internal communications.

  • Ability to travel as necessary according to business needs.
