Summary

 

As the Director of Strategy and Development focused on Mergers and Acquisitions (M&A), the role revolves around identifying, evaluating, and executing strategic opportunities to enhance the company's market position, expand its footprint, and drive value through acquisitions and partnerships.

 

What you'll be contributing: 

 

  • Promote and follow all plant safety guidelines.
  • Strategic Planning and Analysis: Develop and refine the company's overall M&A strategy in alignment with its growth objectives and market dynamics. This involves conducting thorough market analysis, identifying potential targets, and assessing the strategic fit of acquisition opportunities within the cementitious industry.
  • Target Identification and Evaluation: Lead the identification and evaluation of potential acquisition targets, both domestically and internationally. This includes analyzing financial performance, market position, growth prospects, and synergies to assess the attractiveness and feasibility of potential transactions.
  • Due Diligence Management: Oversee the due diligence process for potential acquisitions, coordinating cross-functional teams to assess legal, financial, operational, and strategic aspects of target companies. This involves identifying risks and opportunities, evaluating synergies, and developing integration plans to maximize value post-acquisition.
  • Deal Structuring and Negotiation: Lead negotiations with target companies, stakeholders, and intermediaries to structure and execute M&A transactions. This includes determining valuation, deal terms, and transaction structures that align with the company's strategic objectives and create value for shareholders.
  • Integration Planning and Execution: Develop comprehensive integration plans to ensure smooth post-acquisition integration of acquired businesses into the company's operations. This involves aligning organizational structures, systems, processes, and cultures to capture synergies and maximize operational efficiencies.
  • Portfolio Management and Optimization: Continuously evaluate the company's portfolio of assets and businesses to identify opportunities for divestitures, spin-offs, or strategic partnerships that enhance shareholder value. This may involve restructuring or realigning the portfolio to focus on core strengths and growth areas within the cementitious industry.
  • Regulatory Compliance and Risk Management: Ensure compliance with regulatory requirements and navigate regulatory approval processes for M&A transactions. Assess and mitigate risks associated with acquisitions, including legal, regulatory, financial, and reputational risks, to protect the company's interests and ensure successful deal execution.
  • Stakeholder Engagement and Communication: Engage with internal and external stakeholders, including senior management, board of directors, shareholders, employees, and external advisors, to gain buy-in and support for M&A initiatives. Communicate the rationale, benefits, and risks of proposed transactions effectively to stakeholders.
  • Performance Monitoring and Evaluation: Establish key performance indicators (KPIs) and metrics to track the performance and success of M&A transactions. Monitor post-acquisition integration progress, assess the achievement of strategic objectives, and course-correct as needed to optimize outcomes and create value.
  • Industry Analysis and Market Monitoring: Stay abreast of industry trends, competitor activities, and market developments within the cement industry. Continuously assess market dynamics and competitive landscape to identify new opportunities and adjust M&A strategies accordingly.
  • Additional duties as assigned by supervisor.

 

To succeed in this position, you will need:

 

  • Ability to read, write, and understand warning labels, instructions, signs, etc 
  • Minimum 4 Year - Bachelor's Degree in Business Administration, Finance, Engineering, or a related field. 
  • Preferred MBA
  • Minimum 5 years of experience in business administration, finance, engineering, or a related field.
  • Strong analytical, financial modeling, and problem-solving skills
  • Excellent communication and presentation skills, with the ability to convey complex ideas clearly and persuasively
  • Strategic thinker who can anticipate industry trends and proactively seek growth opportunities
  • Results-oriented mindset and the ability to drive change, innovation, and sustainable practices
  • Business acumen in manufacturing, distribution and/or construction operations including experiences in sales, marketing, engineering, multi-unit operations, finance, purchasing, information technology, legal and regulatory compliance
  • Domestic and International travel up to 50%
