Contract Attorney – IT & Commercial Contracts (Full-Time Contract Worker)
Location: Remote (U.S.)
Department: Indirect Procurement
Contract Type: W2 through staffing supplier, Full-Time (40 hrs/week)
Duration: Multi-month engagement with potential extension
About the Role
We are seeking an experienced Contract Attorney to support our Indirect Procurement and IT organizations. This role will focus primarily on technology contracting—including SaaS, software licensing, cloud services, and IT professional services—while also providing general commercial contracting support to business stakeholders across the company.
The ideal candidate brings strong transactional experience, excellent negotiation skills, and the ability to balance legal risk with business objectives in a fast-paced environment.
What You'll Do
IT Contracting (Primary Focus)
• Draft, review, and negotiate a wide variety of IT agreements, including:
o SaaS and cloud services o Software licensing (perpetual, term, subscription)
o Professional and managed services
o Infrastructure, networking, and telecom agreements
o Statements of Work (SOWs)
• Ensure alignment with internal standards for privacy, security, SLAs, and commercial terms.
• Collaborate with IT, InfoSec, Privacy, and Procurement to address risks and drive deals to completion.
General Commercial Contracting (Secondary Focus)
• Support procurement buyers with drafting and negotiating:
o Master Service Agreements (MSAs)
o Consulting and vendor services contracts
o Operations agreements
o NDAs and renewals
o Data privacy agreements
Risk, Compliance & Business Support
• Identify and mitigate legal and commercial risks across IT and indirect spend categories.
• Interpret complex legal language into clear business implications for stakeholders.
• Participate in vendor and internal meetings to support deal execution.
• Improve contract templates, playbooks, and contracting workflows.
What We're Looking For
Required
• Juris Doctor (JD) and active license in at least one U.S. state.
• 7–10 years of experience drafting and negotiating IT and commercial contracts.
• Deep familiarity with:
o SaaS/cloud contracting
o Software licensing
o Data protection and privacy terms (e.g., GDPR, CCPA/CPRA)
o IP ownership and licensing
• Ability to independently manage a high-volume, fast-moving contract portfolio.
• Strong communication skills with both legal and non-legal stakeholders.
Preferred
• Experience supporting Indirect Procurement or sourcing organizations.
• Previous in-house counsel or corporate contracting experience.
• Familiarity with InfoSec controls (SOC2, ISO 27001), data privacy, and vendor risk assessments.
• Comfortable negotiating with major enterprise technology vendors.
