Overview
The LAC Law team is responsible for all legal aspects of Mastercard's business in said region, while the South LAC Division Law team is responsible for all legal aspects of Mastercard's business in South America (except for Brasil).
The candidate will have the ability to think and act both strategically and tactically with respect to the needs of business clients and their objectives while ensuring that the corporation remains compliant with law, and industry best practices.
Role
Corporate Governance LAC:
• Corporate housekeeping for Mastercard's rep/branch offices and subsidiaries across LAC, including assisting with the management of our regional corporate secretarial legal services provider (CITCO).
• Draft and review of corporate minutes, including but not limited to, for the appointment of legal representatives, approval of financial statements, granting of POAs, in all cases ensuring accuracy and compliance with local regulations.
• Assist and/or vote in corporate committees, where applicable.
• Revise and supervise approval chain of financial statements through the regions.
• Maintain and update corporate governance policies and procedures, ensuring alignment with best practices and legal standards.
• Management of the Delegation of Authority + Signature Workflow (incl. e-signature tool)
• Contract management (incl. SalesForce, Ariba, contract template management)
practices.
• GBSC liaison for LAC legal team, assisting with the transitioning of standardized and repeatable work to the GBSC and maintaining an ongoing dialogue to measure performance and look for improvements.
• Training the LAC regional legal team's internal customers on the above matters.
Legal Marketing South LAC:
• Review and approve from legal standpoint marketing events and engagements, ensuring compliance with local legislation and company marketing codes (Mastercard rules and good practices).
• Evaluate marketing materials, including advertisements, brochures, and digital content, for legal compliance and adherence to company policies.
• Monitor changes in marketing regulations and provide guidance to ensure ongoing compliance.
Agreements for the COVEC cluster (Colombia, Ecuador, Venezuela, Guyana and Surinam):
• Drafts, reviews, prepares and negotiates routine legal agreements, documents, usually leveraging established templates, particularly for the COVEC cluster.
• Checks for discrepancies and inconsistencies in documents, contracts and matters; makes suggestions for resolution and works to incorporate final amendments.
• Manages the administration of the document management system; including tracking, compiling and disseminating information on a regular basis.
• Participate in internal and external meetings and negotiations with attorneys and cross functional projects/matters.
• Prepares materials for training sessions and/or events conducted by the law department; including providing on-site assistance.
• Manage agreement templates to ensure current Mastercard standard terms and conditions are appropriately updated.
• Ensure compliance with laws while affording Mastercard flexibility to conduct its affairs.
• Draft legal documents and business communications, and assist in the preparation of filings, registrations, and responses; represent Mastercard in front of customers, vendors, authorities and regulators. Manage the contract administration process to ensure proper contract drafting, negotiation and fulfillment in accordance with Mastercard policies, legal requirements and customer specifications.
All About You
• Law Degree. Masters in Law and/or business administration is desirable.
• Solid +5 years of experience in practice of law (top tier law firm or Multinational Corporate in-house experience) in the areas of general commercial, corporate, contracts.
• Solid corporate housekeeping experience, as well as experience in transitioning standardized and repeatable work to a shared services center.
• Is able to interact directly with colleagues at all levels and departments (ranging from junior account managers to Division Presidents and across all departments) and translate complex matters into pragmatic and easy-to-understand solutions.
• Fluent in Spanish and English (both orally as in writing).
• Must be able to contribute and operate effectively within a diverse multicultural organization.
• Positive “can do it” attitude, be stress resistant and ready to go the extra mile.
• Team player who is both organizationally savvy and a strong communicator able to collaborate cross-functionally and across regions.
• Thorough, meticulous and attention to detail but nevertheless able to prioritize, focus on the important rather than just urgent matters and get the job done.
• Creative approach to problem-solving.
• Experience in the following areas not crucial but desirable: banking, payment systems and payment products, fintech, sponsorship, marketing (including promotions, regulations, licensing, franchising, e-commerce, technology, telecommunications, labor law).
• Knowledge of banking business (payment systems and cards, knowledge of clearing and settlement processes) is useful.
• Demonstrated consistent success working with partners across other functions in support of product go-to market strategies.
• Empathetic and easy to establish strong relationship with internal and external clients.
• Ability to draft high quality corporate agreements and documentation in both English and Spanish; ability to find creative solutions to contractual issues to reach resolution, taking a pragmatic, commercial approach to balancing legal risks against business interests.
• Ability to handle multiple projects at one time.
• Strong interpersonal skills, team player, appreciation of diverse cultural methods of working and doing business, in particular, for LAC.
• Ability to interact with business clients and Mastercard customers on all matters of legal business.
