Job Summary

Stifel's growth trajectory particularly in continental Europe looks set to continue and accordingly, the business is seeking an additional German law-qualified in-house lawyer, ideally with a focus on general corporate, M&A and capital markets, to join their legal team.   This is a key role that primarily supports our European investment banking teams in transactions which provide small cap / mid-market ECM capital raises and M&A advisory services both in our Frankfurt and London offices and our other European locations.  The role will report on all legal matters into the CFO/CRO of STEA as well as the Head of Institutional Group Legal.

Essential Duties & Responsibilities

  • Negotiating and reviewing investment banking transactional documentation across both public and private M&A, ECM and DCM transactions, including non-disclosure agreements, engagement letters, term-sheets, underwriting/placing agreements etc.
  • Advising deal teams and attending where appropriate due diligence sessions.

  • Providing legal advice and assistance to the firm's other stakeholders such as Finance, HR, Compliance, Risk etc.
  • Ad-hoc general legal advice.
  • Assisting the firm on specific projects, including special initiatives and other proprietary work streams.

Qualifications

  • German-law qualified and business fluent in German. 
  • Bank-side legal representation of firms acting as financial advisor, placement agent or underwriter.
  • Secondment to a leading financial services firm/institution or other relevant commercial in-house experience considered advantageous.
  • Some working knowledge or understanding of US securities laws.
  • Excellent inter-personal skills to communicate clearly and effectively at all levels (both internally and externally).
  • Ability to build effective relationships between individuals, teams, lines of business and geographical boundaries, escalating any material legal or reputational risks as appropriate.
  • Ability to work well under pressure, prioritize workload, meet tight deadlines and have a willingness to take on a diverse workload and to adapt to and embrace new challenges.
  • Proactive, confident, and have the willingness to immerse yourself from the outset with a flexible approach advising on a wide range of legal issues.
  • Involve lawyers at the “coalface” and to engage them directly with supporting our firm's clients by becoming trusted partners to our producing bankers.

Education & Experience

  • Excellent academic qualifications are essential.  Admitted to the German Bar.
  • Preferred:  Around 3 to 6 years professional experience.
  • Broad capital markets/securities experience; general M&A experience would be desirable as well.

Salary:  $225,000.00 - $250,000.00 per year
